Terms of Service

1. Agreement to Terms

By accessing or using Zapploy ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Zapploy is a Personal Assistant that helps you manage and synchronize your schedule, messages, and tasks across multiple applications. Our Service may include:

  • Calendar conflict detection and resolution
  • Cross-application synchronization
  • Inbox management and task extraction
  • Travel coordination and scheduling
  • Meeting preparation assistance
  • AI-powered capabilities for specific operational tasks
  • Communications through supported channels you choose to use, which may include the web app, a mobile app (if available), email, in-app notifications, and messaging platforms (for example, WhatsApp, Signal, Discord, Telegram) and/or SMS/MMS text messaging

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Immediately notify us if you discover any security breach or unauthorized use

You are responsible for all activity that occurs under your account.

4. Messaging Channels, Verification, and Communications (Optional)

4.1 Supported Communication Channels

Zapploy may support communications through multiple channels. Text messaging is just one optional channel. You may be able to use Zapploy exclusively through the web app or mobile app without enabling messaging integrations.

Supported channels may include, depending on what you enable:

  • Web app and mobile app messaging/notifications (if available)
  • Email and in-app notifications
  • SMS/MMS
  • Third-party messaging platforms (for example, WhatsApp, Signal, Discord, Telegram)
  • Additional channels that may be introduced in the future

4.2 Channel Identifiers and Verification

Some channels require you to provide or connect identifiers (for example, a phone number, username/handle, chat ID, or workspace/server ID). Where applicable, Zapploy may require verification (for example, a one-time code) before enabling features.

You represent that you are the subscriber or authorized user of any identifier you provide or connect, and that you have all rights and permissions needed to use it with the Service.

4.3 SMS/MMS (Optional)

If Zapploy offers SMS/MMS features, you can use them in two ways:

  1. You message our Zapploy number. If you initiate a text message to a Zapploy phone number, you authorize Zapploy to receive and process your messages and to respond.
  2. You add a phone number to your account (by request) and complete verification. If you request to add a number, we will verify it (for example, by sending a code). You must complete verification before we enable SMS/MMS features tied to your account.

Consent to receive texts: By (a) adding and verifying your phone number, or (b) initiating an SMS/MMS to our Zapploy number, you consent to receive SMS/MMS messages from Zapploy related to your use of the Service. These may include:

  • Verification codes and account security messages
  • Service-related notifications and updates you request or enable
  • Support and operational messages (for example, scheduling follow-ups or confirmations)

If Zapploy offers marketing or promotional texts, we will request your separate consent where required, and you can opt out at any time.

Not required to purchase: Your consent to receive service-related text messages is not a condition of purchasing a subscription, although certain optional features may require SMS/MMS to function (for example, receiving verification codes or replying by text if you choose that channel).

4.4 Third-Party Messaging Platforms (Optional)

If you choose to communicate with Zapploy via third-party messaging platforms (for example, WhatsApp, Signal, Discord, Telegram):

  • You understand that those platforms may process communications under their own terms, policies, and technical characteristics.
  • You agree to comply with the terms of service of the relevant platform(s).
  • You acknowledge that delivery, availability, and message formatting may vary by platform and are not guaranteed.
  • You can typically disable these features by disconnecting the integration (if applicable) and/or updating your preferences.

4.5 Opt-Out and Help

  • SMS/MMS: You can opt out of SMS/MMS at any time by replying STOP to any text message from Zapploy. After opting out, you may receive a final confirmation text and you may no longer receive SMS/MMS from Zapploy unless you re-enable the feature or otherwise opt back in (for example, by replying START where supported).
  • Other messaging channels: You can typically stop messages by disconnecting the channel integration and/or changing your preferences. Depending on the platform, you may also be able to block the Zapploy account/bot.

4.6 Message Frequency and Fees

Message frequency varies based on your settings and use of the Service. Message and data rates may apply. Your mobile carrier and/or messaging platform is not liable for delayed or undelivered messages.

4.7 No Emergency Use

Zapploy's communications features are not intended for emergency communications. Do not use Zapploy (including SMS/MMS or other messaging platforms) to contact emergency services.

5. Third-Party Integrations

The Service integrates with third-party applications such as Google Workspace, Microsoft 365, and other productivity tools. By connecting these services:

  • You authorize Zapploy to access your data from these services as necessary to provide the Service
  • You agree to comply with the terms of service of each third-party application
  • You understand that Zapploy's access is limited to the permissions you grant
  • You can revoke access to any connected application at any time through your account settings

Zapploy is not responsible for any third-party services, and your use of those services is subject to their respective terms and privacy policies.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Send spam, bulk messages, or other unauthorized communications (including via SMS/MMS or other messaging platforms)
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to the Service or other accounts
  • Use the Service for any fraudulent or malicious purpose
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or redistribute the Service without our written permission

If you use the Service to communicate with others (including by email, SMS, or third-party messaging platforms), you are responsible for ensuring you have the appropriate rights and consents to contact those recipients.

7. Automated Actions and Autonomy

Zapploy can perform actions on your behalf based on your configured autonomy level:

  • Suggest Mode: Zapploy analyzes and proposes options; no actions are taken without your explicit approval
  • Confirm Mode: Zapploy prepares actions for your review and one-tap approval
  • Auto Mode: Zapploy automatically handles low-risk actions; high-risk actions always require your approval

You acknowledge that you are responsible for reviewing and understanding the actions taken on your behalf. All actions are logged in your Activity Log and can be undone.

8. Subscription and Payments

Some features of the Service require a paid subscription. By subscribing:

  • You agree to pay the applicable fees as described on our pricing page
  • Subscription fees are billed in advance on a monthly or annual basis
  • Subscriptions automatically renew unless you cancel before the renewal date
  • Refunds are provided at our discretion and in accordance with applicable law

We reserve the right to modify pricing with 30 days' notice. Price changes will apply to your next billing cycle.

9. Free Tier

Zapploy offers a free tier with limited features and 100 actions per month. The free tier:

  • Does not require a credit card to sign up
  • Includes Suggest and Confirm modes only
  • May be modified or discontinued at any time

10. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are owned by Zapploy and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data you provide to the Service. By using the Service, you grant us a limited license to access, process, and store your data solely to provide and improve the Service.

11. Electronic Communications

By using the Service, you agree that Zapploy may provide notices and communications to you electronically and through supported channels you enable, including via email, in-app notifications, web app/mobile app, and (if you choose) SMS/MMS or connected messaging platforms. You can manage certain communication preferences in your account settings. Service-related communications (including security and legal notices) may be sent even if you opt out of marketing messages.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. While we strive for high availability and accuracy, we cannot guarantee that automated actions will always perform as expected.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAPPLOY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any actions taken by the system, whether in Suggest, Confirm, or Auto mode
  • Any errors, failures, or interruptions in third-party services or platforms
  • Delayed or undelivered messages via email, SMS/MMS, or other messaging channels

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless Zapploy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or violation of any rights of a third party.

15. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • You may request export of your data within 30 days of termination
  • We may delete your data after the 30-day period unless required by law to retain it

You may terminate your account at any time through your account settings.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes indicates your acceptance of the new Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

18. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in class action lawsuits.

19. Severability

If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
